Algemene Voorwaarden

1. Toepasselijkheid
Deze algemene voorwaarden zijn van toepassing op alle aan­biedingen van, overeenkomsten met, leveringen van en werkzaamheden verricht door SoBlom, hierna te noemen op­drachtnemer, tenzij partijen uitdrukke­lijk schriftelijk anders zijn overeenge­komen.
Door met opdrachtnemer een overeenkomst aan te gaan, doet cliënt afstand van eventueel door hem gehanteerde voorwaarden, zodat op alle overeenkomsten tussen opdrachtnemer en de cliënt uitsluitend de door opdrachtne­mer gehanteerde voorwaarden van toepassing zijn. Alle aanbiedingen zijn vrijblijvend en kunnen door opdrachtnemer zonder opgaaf van redenen geweigerd worden.

2. Algemeen
In deze algemene voorwaarden wordt verstaan onder:

  1. opdrachtnemer: SoBlom;
  2. cliënt: iedere rechts- of natuur­lijke persoon die met opdracht­nemer een overeenkomst heeft ge­sloten, respectievelijk wenst te sluiten en tevens diens vertegenwoordiger(s), gemachtigde(n), rechtsverkrijgende(n), en erfge­name(n);
  3. overeenkomst: elke aan­bieding van opdrachtne­mer, aanvaard door cliënt, dan wel elke opdracht ver­strekt door cliënt aan opdrachtnemer en door deze laatste aanvaard;
  4. diensten: in het ka­der van een overeenkomst tussen op­drachtne­mer en cliënt verrichte werkzaamheden door opdracht­nemer.

Een wijziging van een overeen­komst, waardoor nadelige gevol­gen voor op­drachtnemer zouden ontstaan en annu­lering van een overeenkomst, zijn zonder toe­stemming van opdrachtne­mer on­verbindend, behalve indien zulks op grond van de wet ge­vorderd zou kunnen worden of voor zover hierin door de voor­waarden wordt voorzien. Bedingen op grond waarvan opdracht­nemer een leveringsver­plichting op zich neemt, dan wel op grond waarvan de hoeveel­heid en/of de prijs van de te leveren respectievelijk af te nemen diensten aan een voorbe­houd zijn verbon­den, zijn onver­bindend.

3. Totstandkoming van de over­eenkomst
Opdrachtnemer is aan haar schriftelij­ke aanbiedingen en aan door cliënt aan opdrachtne­mer gegeven opdrachten eerst dan gebonden, wanneer op­drachtne­mer aanvaarding schrif­telijk heeft bevestigd, dan wel indien zij naar aanleiding van een gegeven opdracht met haar werkzaam­heden aanvangt.

Aanvullingen, wijzigingen of toezeggin­gen op de in voor­noemd lid genoemde overeen­komst, zijn eerst dan bindend wanneer zij door opdrachtnemer en cliënt schriftelijk zijn beves­tigd. Ingeval de cliënt naar het oor­deel van de opdrachtnemer niet voldoende krediet­waardig blijkt, is opdrachtnemer gerechtigd al haar contractuele ver­plichtingen op te schorten onvermin­derd de aan opdrachtnemer krachtens de wet op deze voorwaarden toe­ko­mende rechten, een en ander met inachtne­ming van de begin­selen van redelijkheid en billijk­heid.

4. Honorering en betaling
Alle door opdrachtnemer geda­ne prijs­opgaven zijn vrijblijvend en onder voorbehoud van prijs­wijziging, tenzij uitdrukkelijk anders is bepaald en zijn steeds exclusief BTW, andere belastin­gen, heffingen en rechten. Betaling zal plaatsvinden zonder af­trek, verrekening of opschor­ting uit welke hoofde dan ook.
Alle betalingen dienen binnen 14 da­gen na facturatie te wor­den gestort op de door op­drachtnemer aangewezen bankrekening. Indien opdrachtgever niet binnen de gestelde termijn betaalt is deze van rechtswege in verzuim en kan opdrachtnemer vanaf die datum de wettelijke rente in rekening brengen.
Cliënt is aan opdrachtnemer alle buitengerechtelijke en gerechtelijke kosten verschuldigd indien zij een door opdrachtnemer opeisbaar verschuldigde som ondanks ingebrekestelling niet voldoet en de opdrachtnemer de vordering aan derden uit handen geeft. Indien de opdrachtnemer conservatoire maatregelen neemt, is voor wat betreft deze kosten geen ingebrekestelling of opeisbaarheid vereist. De buitengerechtelijke incassokosten worden berekend aan de hand van het incassotarief dat laatstelijk werd gepubliceerd door de Nederlandse Orde van Advocaten, tenzij de vordering wordt betwist en/of dit tarief niet toereikend dan wel toepasselijk is, in welk geval de kosten worden berekend aan de hand van het tarief per tijdseenheid dat normaliter door de advocaat van opdrachtnemer voor de behandeling in rekening wordt gebracht vermeerderd met de aan derden te betalen kosten.

De gerechtelijke kosten worden steeds op basis van het laatstgenoemde systeem aan de cliënt in rekening gebracht met als minimum het door de rechter buiten overeenkomst te begroten bedrag.

5. Overmacht
In geval van overmacht, zowel van blijvende als tijdelijke aard, is op­drachtne­mer gerechtigd de overeen­komst geheel of gedeel­telijk te ontbin­den of tijdelijk op te schorten, zonder dat de cliënt en/of derden aanspraak op nakoming en/of schade­vergoe­ding kunnen doen gelden. Indien door overmacht de leve­ring meer dan twee weken wordt vertraagd, is naast op­drachtnemer ook de cliënt be­voegd de overeenkomst schrifte­lijk te ontbinden. In dat geval heeft op­drachtnemer recht op betaling van de tot aan het moment der overmacht door opdrachtnemer verrichtte werkzaamheden.

6. Aansprakelijkheid
Opdrachtnemer is niet aanspra­kelijk voor enige schade, welke voor de cliënt of voor derden mocht ontstaan als gevolg van door opdrachtnemer ver­leende diensten, tenzij er sprake is van opzet of grove schuld van de kant van op­drachtnemer, dan wel indien de gel­dende wettelijke regelingen en/of de onderhavige voorwaarden anders na­drukke­lijk bepalen. De door opdrachtnemer te betalen schadevergoeding we­gens een toere­kenba­re tekortko­ming bij de uitvoering van de opdracht, zal in ieder geval niet meer bedragen dan het be­drag gelijk aan de totaal be­dongen prijs van de aan de opdrachtnemer opgedra­gen werkzaamheden (exclusief BTW). Opdrachtnemer is nimmer gehouden tot vergoeding van winstderving, bedrijfsschade, (bijkomende) kosten, indirecte of directe schade aan derden.

7. Ontbinding
Onverminderd de opdrachtne­mer ver­der toekomende rechten en het elders in deze voorwaar­den bepaalde, kan opdrachtne­mer een overeenkomst als ont­bonden beschouwen, zonder rech­terlijke tussenkomst en zonder dat enige ingebrekestel­ling is vereist, in geval de cliënt met de voldoening van zijn betalingsverplichtingen in ver­zuim is of in gebreke blijft, de cliënt
